These Terms of Service (the "Terms") set out the rules by which you may use our Services. The Terms explain how our Services work and provide a list of the dos and don'ts when using them. These Terms form a legally binding contract between you and us that you accept byusing our Services. Please read them carefully. We are Harmoniz Ltd ("Harmoniz","we", "us", or "our"). Our offices are located at Kibbutz Kfar Menahem, P.O.B. 198, 7987500 Israel, and our registration number is 513190314.
When we use the term "you", we mean anyone using our Services.
1.2. Definitions
- "Site" means https://www.harmonizseed.com.
- "Services" means any services, features, or functionality made available on or through the Site.
- "Content" means all text, data, graphics, photographs, videos, materials, and other content made available onor through the Site.
- "Terms of Sale" means Harmoniz's Terms and Conditions of Sale and Delivery governing the purchase of seeds orother products (available at https://www.harmonizseed.com/terms-of-sale/ and as may be updated fromtime to time).

When you use our Services, we may collect personal data about you as described in our Privacy Notice. 1.4. Changes to these Terms
We may update these Terms from time to timeand will post the updated version on the Site with the date it was published.Please check this page occasionally. If you continue to use our Services afterwe update the Terms, that means you agree to and accept the updated version tothe extent permitted by applicable law.
2. Our Services
Subject to these Terms, Harmoniz allows you to use the Site on a non-exclusive basis for your own personal use.
2.1. Purchases
Any purchase of seeds or other products isgoverned by the Terms of Sale and the applicable order confirmation, invoice,or other written agreement. If there is any conflict between these Terms andthe Terms of Sale regarding a purchase, the Terms of Sale control.
3. Use Restrictions
You may not do,attempt to do, or allow a third party to do any of the following: (1) decipher, decompile, disassemble, or reverse-engineer any of the code or software used to provide the Services, including framing or mirroring the Services; (2) copy, modify, or distribute the Services in any manner not permitted by these Terms; (3) circumvent or interfere with security-related features of the Services or features that restrict unauthorized use of or access to any Content; (4) use any robot, spider, site search or retrieval application, or any other process to retrieve, index, and/or data-mine the Content or circumvent the navigational structure of the Services in any other way; (5) remove, alter, or conceal any copyright, trademark, service mark or other such notices incorporated in the Services; and (6) use the Services in any manner not permitted by applicable law, including applicable export laws and regulations, or in countries subject to sanctions under applicable law.
You may not use our Services if doing so is unlawful. We may cooperate with law enforcement authorities or court orders requesting that we disclose the identity or behavior of anyone believed to have violated these Terms or to have engaged in illegal behavior in connection with the Services.
4. Representations
By using the Services, you represent that: (a) you are at least 18 years old and have the ability to form a binding contract; and (b) your use of the Services will not violate any applicable lawor any obligation you have to a third party.
You also undertake that you will use the Services in compliance with applicable law at all times, including applicable export laws, to ensure that neither the Services nor any related materials are unlawfully exported.
4.1. Suspension andTermination
We may suspend or terminate your access tothe Services (in whole or in part) at any time if we reasonably believe youhave violated these Terms or if we are required to do so by law. To the fullestextent permitted by applicable law, we will not be liable to you for anysuspension or termination of access.
5. Intellectual Property
We retain all worldwide intellectual property rights, title, and interest in and to the Site and Services, including their overall appearance and any text, graphics, designs, videos, interfaces, and underlying source files of the Services, any content we provide, and our name, trademarks, and logos. In some cases we have the right to use certain elements from others as part of our Services and in that case, those elements are owned by their respective owner/s. Your ability to use the Services does not transfer ownership or any other rights to you, and it does not allow you to use our name, trademarks, logos, or similar property as your own.
6. Indemnification
You agree to indemnify, defend, and hold harmless Harmoniz, its affiliates, and their respective directors, officers, employees, subcontractors, and agents from and against any claim, damage, or loss, including reasonable court costs, attorneys’ fees, and any fines that may be incurred, that arise directly or indirectly from your: (a) breach of these Terms, including any of your representations or warranties, whether by you or by anyone using your account or device, and whether or not that use was authorized by you; (b) use or misuse of the Services; (c) violation of any law or regulation, including breach of applicable data protection laws; and (d) infringement of any right of any third party.
7. Disclaimers
WE DO NOT MAKE ANY WARRANTIES (IMPLIED,STATUTORY, OR OTHERWISE) ABOUT THE SITE, SERVICES OR ANY CONTENT, INCLUDING WITHOUT LIMITATION THAT THE SERVICES WILL BE OF GOOD QUALITY, USEFUL FOR YOUR SPECIFIC NEEDS OR ANY PARTICULAR PURPOSE, ACCURATE, ERROR-FREE (OR THAT ERRORSWILL BE CORRECTED), RELIABLE, SECURE, COMPLETE, NON-INFRINGING, OR THAT THESERVICES WILL BE PROVIDED IN A TIMELY MANNER. THE SERVICES ARE PROVIDED ON AN"AS IS" AND "AS AVAILABLE" BASIS.
We cannot control the functionality ofservices provided by third parties and assume no responsibility for anytelephone or network line failure or interruption, or traffic congestion on theInternet or on the Services themselves. We cannot control the actions of badactors and do not guarantee that we will successfully prevent unauthorizedaccess to or alteration of the Services.
In light of the above, you understand thatusing the Services entails some degree of risk. When you choose to use theServices, you do so at your sole discretion and risk. Some jurisdictions do notallow the exclusion of certain warranties, and therefore some of the aboveexclusions may not apply to you.
8. Limitation of Liability
- TO THE FULLEST EXTENT PERMITTED BYAPPLICABLE LAW, HARMONIZ AND ITS AFFILIATES, AND ANY OF THEIR RESPECTIVEOFFICERS, EMPLOYEES, OR SUBCONTRACTORS, WILL NOT BE LIABLE TO YOU OR ANY THIRDPARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIALDAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OR DATA, WHETHER OR NOTSUCH DAMAGES ARE FORESEEABLE AND WHETHER OR NOT HARMONIZ HAS BEEN ADVISED OFTHE POSSIBILITY OF SUCH DAMAGES.
- TO THE FULLEST EXTENT PERMITTED BYAPPLICABLE LAW, HARMONIZ'S TOTAL AND AGGREGATE LIABILITY ARISING OUT OF ORRELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (I) USD $50 AND (II)THE AMOUNTS YOU PAID (IF ANY) TO HARMONIZ FOR THE SERVICES IN THE TWELVE (12)MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
- NOTHING IN THESE TERMS LIMITS LIABILITY FORWILFUL MISCONDUCT OR GROSS NEGLIGENCE, OR FOR DEATH OR PERSONAL INJURY, TO THEEXTENT SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.
9. Notices
To provide an official notice in accordance with these Terms, either we or you may send a notice by courier, registered mail, or by email to the addresses we provide each other. Either party may assume its notice has been received one (1) business day following delivery by courier, four (4) business days following delivery by registered mail, and one (1) business day after email transmission.
10. General
Entire Agreement; Scope. These Terms governonly your use of the Site and Services. They do not replace or terminate the Terms of Sale or any other written agreement you have with Harmoniz (including any order confirmation, invoice, NDA, MTA, or licensing agreement).
Assignment. We may assign our rights and obligations under these Terms to any third party. You may not assign any of your rights or obligations under these Terms without our prior written consent, and any attempt to do so will be void.
Waiver. If either party waives any rights regarding any breach or default of these Terms, that waiver will not be deemedto waive any other breach or default.
Governing Law; Jurisdiction. These Terms are governed by the laws of the State of Israel, without regard to its conflict of law principles and without regard to the United Nations Convention on Contracts for the International Sale of Goods (CISG). The courts in the Stateof Israel will have exclusive jurisdiction over any dispute arising out of orrelating to these Terms or the Services, subject to any mandatory rights that cannot be excluded under applicable law.
Severability. If a court rules that aprovision of these Terms is unenforceable, that provision will be replaced with an enforceable provision that most closely achieves the effect of the original, and the remaining provisions will remain in full force and effect.
No Relationship; No Third-Party Beneficiaries. Nothing in these Terms creates any agency, employment, joint venture, or partnership relationship between us and you, and nothing in these Terms enables you to act on our behalf. There are no third-party beneficiaries to these Terms.
